UpsetSale is an independent, informational data service. We are not the Philadelphia Sheriff's Office, the City of Philadelphia, Bid4Assets, or any government agency, auctioneer, title company, law firm, real-estate broker, or financial adviser. We do not conduct auctions, process bids, or handle sale funds. Nothing on this site is legal, tax, financial, or investment advice. If information on UpsetSale ever conflicts with the official source, the official source controls.
1. Who we are, and acceptance of these terms
UpsetSale ("we," "us," "our") is operated by Colin Adams, doing business as UpsetSale, a sole proprietorship based in Pennsylvania, USA. By accessing upsetsale.com (the "Service"), or by subscribing to UpsetSale Pro, you agree to these Terms of Use and to our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old and able to form a binding contract to use the Service.
2. What the Service is
UpsetSale compiles publicly available sheriff sale and tax sale information from official government and auction-platform sources, joins it with public property assessment records, and presents it in an easier-to-use format. The free site shows the current sale list; UpsetSale Pro ("Pro") is a paid subscription that delivers the full dataset and email alerts, described on the Pro page. We may modify, add, or discontinue features, data sources, or the Service itself at any time; where a change materially reduces what a paid subscription includes, we will tell subscribers by email.
3. Accuracy — verify with the official source
Sale lists change, often right up to the sale date: properties are added, removed, postponed, or redeemed by owners paying what is owed. We source data from official records and refresh it regularly, but we make no warranty, express or implied, that any listing, value, date, or other data point on this Service is complete, accurate, or current. If anything displayed by UpsetSale conflicts with information published by the applicable sheriff, government agency, auction platform, recorder, or assessor, the official source controls, and you must verify against it before relying on anything here.
4. Estimates are estimates
Values we compute or display — including CLR-adjusted market values and any future lien, delinquency, opening-bid, or equity figures — are analytical estimates generated from public data and stated assumptions. They are opinions, not facts, and are not guarantees of value, sale price, bidding requirements, proceeds, profitability, or investment return. Assessment records themselves are produced by the taxing authority and may be outdated or wrong.
5. No due diligence or professional services
UpsetSale does not perform title searches, provide title insurance, conduct legal review, inspect properties, validate liens, assess environmental conditions, or perform any other professional due diligence. Buying property at a sheriff or tax sale carries real financial and legal risk — existing liens and mortgages, title defects, occupied properties, redemption rights, and more. Engage a qualified attorney, title company, and other professionals before bidding.
6. Acceptable use and data extraction
You may use the Service, and any data you obtain from it, for your own personal or internal business research. You agree not to: scrape, crawl, harvest, or bulk-download the Service by automated means beyond ordinary search-engine indexing; republish, resell, sublicense, mirror, or redistribute the Service's datasets or Pro workbooks, in whole or substantial part, including as part of a competing product; share one subscription across multiple people or organizations; circumvent access or technical controls; interfere with the Service's operation; misrepresent affiliation with UpsetSale or any government body; or use the Service for any unlawful purpose, including harassment of property owners. Quoting small excerpts with attribution is fine.
7. Intellectual property
The underlying public records belong to no one, and we claim no ownership of government data. Everything else — the UpsetSale name, logo, site design, software, original text, and our selection, arrangement, normalization, and computed enrichment of the data — belongs to us and is protected by applicable intellectual-property law. Pro subscribers receive a limited, non-exclusive, non-transferable license to use delivered workbooks for their own research, subject to Section 6.
8. UpsetSale Pro: billing, cancellation, refunds
Pricing. Pro is offered at $39 per month or $390 per year, plus applicable sales tax. Prices may change; changes take effect at your next renewal and we will email you before a price change applies to you.
Automatic renewal. Pro is a subscription: it renews automatically — monthly or yearly, matching the plan you chose — and your payment method is charged at each renewal until you cancel.
Payment processing. Payments are processed by Stripe, our third-party payment processor, under its own terms and privacy policy. UpsetSale never receives or stores your full card number.
Cancellation. Cancel anytime by emailing [email protected] from your subscription address. Cancellation stops future renewals; you keep Pro access through the end of the period you have paid for.
Refunds. Because Pro delivers its dataset immediately on subscribing, fees are non-refundable except where a refund is required by applicable law or we issue one to correct our own error.
Failed payments and chargebacks. If a renewal payment fails, we may retry it and suspend Pro access until payment succeeds. If you initiate a chargeback on a charge you authorized, we may suspend or terminate your subscription.
9. Suspension and termination
We may suspend or terminate access to the Service or to Pro for violation of these terms, abuse of the Service, fraud, or where required by law. If we terminate a paid subscription without cause, we will refund the unused portion of the current period; if we terminate for violation of these terms, no refund is due. You may stop using the Service at any time.
10. Corrections and removal requests
If a listing contains a factual error — a wrong address, value, status, or match — email [email protected] and we will investigate and correct verified errors. If you ask us to remove accurate public-record information, we will evaluate the request in good faith, but we are not obligated to remove truthful information compiled from public records except where required by law. Official records remain the authoritative source either way.
11. Third-party websites and sources
The Service links to external sites, including the Philadelphia Sheriff's Office, OpenDataPhilly, and Bid4Assets. Those sites are independently operated, outside our control, and governed by their own terms and privacy policies; linking to them is not an endorsement, and their availability or accuracy is not our responsibility.
12. Disclaimers
THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, UPSETSALE AND ITS OPERATOR ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST OPPORTUNITIES, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE OR ITS DATA — INCLUDING BIDDING DECISIONS, AUCTION LOSSES, TITLE OR LIEN ISSUES, TAX CONSEQUENCES, OR INCORRECT OR INCOMPLETE RECORDS — EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF $50 OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Indemnification
You agree to indemnify and hold harmless UpsetSale and its operator from claims, damages, and reasonable expenses (including attorneys' fees) arising out of your violation of these terms or your unlawful use of the Service or its data.
15. Governing law and disputes
These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles. Before filing any claim, you agree to first contact us at [email protected] and give us 30 days to try to resolve the dispute informally. Any claim that is not resolved informally must be brought exclusively in the state or federal courts located in Pennsylvania, and both parties consent to their jurisdiction and venue.
16. General
Severability: if any provision of these terms is held unenforceable, the remainder stays in effect. Waiver: our not enforcing a provision is not a waiver of the right to enforce it later. Assignment: you may not assign these terms; we may assign them in connection with a sale, merger, or reorganization of the business. Survival: Sections 6, 7, and 12 through 16 survive termination. Entire agreement: these terms, together with the Privacy Policy and any terms presented at checkout, are the entire agreement between you and UpsetSale regarding the Service.
17. Changes to these terms
We may update these terms from time to time; the "Last updated" date above will change when we do, and material changes affecting paid subscriptions will be announced to subscribers by email. Continued use of the Service after changes are posted means you accept the updated terms.
